Terms of Service

These Terms govern your use of EdgarStack, including its website, hosted MCP server, REST API, and related features. By using the service, you agree to these Terms.

1. Agreement to Terms

EdgarStack (“EdgarStack,” “we,” “us,” or “our”) provides software that connects AI assistants to public financial and filing data from SEC EDGAR. If you do not agree to these Terms, do not use the service.

2. Products & Plans

EdgarStack does not offer a one-time purchase plan. Plan features and limits are those shown on the website when you sign up.

3. Free Tier Limitations

Free keys are subject to daily rate limits and are restricted to lookup and basic financials tools. They expire after 14 days, cannot be extended, and are limited to one free key per email address. To continue using the service after expiry, upgrade to Pro.

4. Licence

While you comply with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use EdgarStack for your personal or internal business research. You may not resell, sublicense, or redistribute access to EdgarStack, or use the service to build or operate a competing product.

5. Subscriptions & Billing

Pro subscriptions are billed monthly at $10.99 after any applicable free trial. Lemon Squeezy processes payments and manages subscription billing. You may cancel at any time; cancellation takes effect at the end of the current billing period, and access continues until then unless otherwise stated by the billing provider.

6. Refund Policy

Refund eligibility and instructions are described in our Refund Policy, which forms part of these Terms.

7. Acceptable Use

You agree not to:

• circumvent API-key limits, rate limits, or access controls;
• redistribute EDGAR data obtained through the service;
• reverse engineer, interfere with, or disrupt EdgarStack;
• use the service unlawfully or in a way that infringes another person’s rights; or
• share your API key or use it to provide access to another person outside your authorized plan.

8. Disclaimer of Warranties

EdgarStack is a software tool, not a financial adviser, broker, investment adviser, or regulated financial service. It does not provide investment, legal, tax, or accounting advice. The service is provided “as is” and “as available.” SEC EDGAR is a public data source; we do not guarantee that its information or our presentation of it is accurate, complete, current, or uninterrupted. Verify important information against the original filings and consult a qualified professional before making decisions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, EdgarStack will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities. Our total liability for claims related to the service will not exceed the fees you paid to EdgarStack in the three months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be limited under applicable law.

10. Changes to Terms

We may update these Terms. We will give active Pro subscribers at least 14 days’ notice of material changes, such as by email or a notice on the service. Updated Terms take effect on the date stated in the notice.

11. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts with jurisdiction in India will hear disputes, subject to any mandatory rights you have under applicable law.
